1. Introduction
Welcome to Eskoler (“Company,” “we,” “our,” or “us”). These Terms & Conditions (“Terms”) govern your access to and use of our ecosystem of educational and operational tools, including but not limited to eskoler.com, app.eskoler.com, shop.eskoler.com, ai.eskoler.com, photos.eskoler.com, track.eskoler.com, ads.eskoler.com, and any future products, mobile applications, software, and services provided by Eskoler (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.
2. Definitions
- “Platform” refers to the Eskoler web and mobile applications, underlying software, APIs, and associated subdomains.
- “School” refers to the educational institution, district, or administration that licenses the Services for its internal operations and community.
- “User” (or “you”) refers to any individual accessing the Services, including School Administrators, Teachers, Parents, Students, and Drivers.
- “User Content” means any data, text, files, images, photos, video, sounds, or other materials submitted, transmitted, or uploaded to the Services by a User.
- “Personal Data” means any information relating to an identified or identifiable natural person, including biometric data and geolocation.
3. Acceptance of Terms
By creating an account, signing a Master Service Agreement (MSA) referencing these Terms, or otherwise accessing the Services, you accept these Terms. If you are accepting these Terms on behalf of a School or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
4. Scope of Services
Eskoler provides a comprehensive school management Software-as-a-Service (SaaS) platform. Our modules include, but are not limited to, academic tracking, communication, transportation logistics (track.eskoler.com), artificial intelligence tools (ai.eskoler.com), e-commerce (shop.eskoler.com), and media management (photos.eskoler.com). Eskoler reserves the right to modify, suspend, or discontinue any feature or module within the Services at any time, with or without notice, subject to the terms of any active MSA.
5. Eligibility
To use the Services, you must be granted access by an authorized School or register independently where permitted. Users must be of legal age to form a binding contract in their jurisdiction. If you are a minor (a “Student”), you may only use the Services under the direct supervision and authorization of your Parent or legal guardian, and your School.
6. Account Registration
Users must provide accurate, current, and complete information during the registration process. Schools are responsible for provisioning accounts for their faculty, students, and parents. You agree to update your information to keep it accurate, current, and complete. Eskoler reserves the right to suspend or terminate accounts if any information provided proves to be inaccurate or incomplete.
7. User Accounts
You are solely responsible for safeguarding the password and authentication methods (including biometric credentials like FaceID or fingerprint logins) used to access your Eskoler account. You agree not to disclose your credentials to any third party. You must notify Eskoler immediately upon becoming aware of any breach of security or unauthorized use of your account. Eskoler will not be liable for any loss or damage arising from your failure to protect your login information.
8. School Responsibilities
Schools acting as the primary licensee agree to:
- Obtain all necessary consents from parents and legal guardians prior to provisioning Student accounts, particularly regarding data collection, facial recognition, and vehicle tracking.
- Ensure that all User Content uploaded by the School complies with applicable educational privacy laws (e.g., FERPA, COPPA, GDPR).
- Promptly revoke access for personnel, students, or parents who are no longer authorized to access the School’s Eskoler environment.
- Designate an administrative contact responsible for managing platform permissions.
9. Parent Responsibilities
Parents and legal guardians agree to:
- Use the Services solely to monitor and support the educational progress and safety of their own enrolled children.
- Maintain the confidentiality of academic and disciplinary data accessed through the Platform.
- Consent to the specific data collection mechanisms deployed by the School through the Eskoler Platform, such as GPS tracking during school transit.
10. Student Responsibilities
Students granted access to the Platform agree to:
- Use the Services strictly for educational purposes as directed by their Teachers and School administration.
- Refrain from attempting to bypass any security, monitoring, or content-filtering mechanisms implemented by Eskoler or the School.
- Maintain a respectful and appropriate tone in all communications facilitated by the Platform.
11. Teacher & Staff Responsibilities
Teachers and School staff agree to:
- Protect the confidentiality of Student Personal Data, including grades, health alerts, and behavioral notes.
- Ensure that homework, announcements, and study materials uploaded to the Platform are free from malicious code, copyright infringement, and inappropriate content.
- Use the communication features (e.g., direct messaging to Parents) in a professional manner, adhering to School policies.
12. Driver Responsibilities
Drivers utilizing the Eskoler transportation module (track.eskoler.com) agree to:
- Keep the Eskoler driver application active and location services enabled during all designated school routes to ensure accurate real-time tracking for Parents and Schools.
- Not use the mobile application while the vehicle is in motion in any manner that violates local traffic laws or compromises safety.
- Protect the manifest of Student riders and not disclose pickup/drop-off locations to unauthorized third parties.
13. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. The Services are designed to facilitate educational administration, communication, logistics, and commerce within the School ecosystem. You must comply with all applicable local, state, national, and international laws, treaties, and regulations in connection with your use of the Services.
14. Prohibited Activities
When using the Services, you strictly agree not to:
- Reverse Engineer or Extract Code: Decompile, reverse engineer, disassemble, or attempt to derive the source code, underlying ideas, or algorithms of the Platform.
- Unauthorized Access: Attempt to gain unauthorized access to any portion of the Services, other User accounts, or the servers and networks connected to the Platform.
- Data Scraping: Use any robot, spider, scraper, or other automated means to access, extract, or harvest data from the Services without our express written permission.
- Malicious Code: Upload or transmit viruses, trojan horses, malware, or any other malicious code that could harm, disrupt, or impair the Platform or the data of other Users.
- Harassment and Abuse: Use the Platform to harass, abuse, defame, threaten, or defraud other Users, or to distribute hate speech, discriminatory content, or explicit material.
- Commercial Exploitation: Sell, resell, license, sublicense, distribute, or otherwise commercially exploit the Services independently of the authorized ecosystem without a separate commercial agreement with Eskoler.
15. Intellectual Property
All rights, title, and interest in and to the Services, including but not limited to the software, databases, interfaces, graphics, logos, trademarks, and proprietary algorithms (collectively, “Eskoler IP”), are and will remain the exclusive property of Eskoler and its licensors. These Terms do not grant you any right, title, or interest in the Eskoler IP, except for the limited, non-exclusive, non-transferable right to access and use the Services as expressly permitted herein.
16. User Content
You retain all rights to any User Content you submit, post, or display on or through the Services. By uploading User Content, you grant Eskoler a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such User Content solely for the purpose of providing, operating, and improving the Services. You represent and warrant that you have all the rights, power, and authority necessary to grant this license.
17. Data Ownership
Eskoler acknowledges that the School retains all right, title, and interest in and to all Student data, academic records, and institutional data (“School Data”) entered into the Platform. Eskoler acts purely as a data processor (or service provider) on behalf of the School (the data controller). Eskoler will not sell School Data or use it for any purpose other than to provide the contracted Services, except in an aggregated and completely anonymized format for system analytics and performance improvement.
18. Privacy
Your privacy and the protection of Personal Data are paramount. Our data collection, use, and disclosure practices are governed by our Privacy Policy, which is incorporated into these Terms by reference. We comply with applicable educational and data protection laws governing the handling of Student data. Schools are responsible for securing necessary parental consents required by local jurisdictions before enabling features that collect Student Personal Data.
19. AI Services (ai.eskoler.com)
The Services may include artificial intelligence and machine learning features (“AI Services”) designed to assist with grading, lesson planning, analytics, and drafting communications.
- Accuracy Disclaimer: AI-generated outputs are provided for informational and supportive purposes only. Eskoler does not guarantee the accuracy, completeness, or unbiased nature of AI outputs. Users must review and verify AI-generated content before relying on or distributing it.
- Model Training: Eskoler does not use personally identifiable School Data or Student data to train its foundational AI models without explicit, opt-in consent from the School.
20. Facial Recognition Services (photos.eskoler.com)
Our media management and automated tagging module (photos.eskoler.com) may utilize facial recognition technology to securely sort and distribute school photographs to authorized Parents.
- Consent: Schools must obtain explicit, documented consent from Parents or legal guardians before enrolling any Student in the facial recognition database.
- Biometric Data Handling: Biometric data generated for facial recognition is encrypted, stored securely, and is strictly isolated to the specific School’s environment. It is never sold, shared with third-party advertisers, or used outside the scope of delivering the photos.eskoler.com service.
21. Vehicle Tracking Services (track.eskoler.com)
The transportation and logistics module (track.eskoler.com) provides real-time GPS tracking of school vehicles and Driver applications.
- Location Data: By using this module, Drivers consent to the collection and transmission of their device’s geolocation data during active school routes.
- Service Limitations: Real-time tracking is dependent on third-party mobile networks, satellite availability, and device hardware. Eskoler does not guarantee uninterrupted or perfectly accurate location data and shall not be liable for delays or discrepancies in tracking information.
22. Marketplace Terms (shop.eskoler.com)
The Eskoler Marketplace (shop.eskoler.com) provides a platform for Schools, approved third-party vendors, and Parents to conduct transactions for educational materials, uniforms, event tickets, and related goods or services.
- Role of Eskoler: Unless explicitly stated otherwise on the product page, Eskoler acts solely as an intermediary technology platform facilitating these transactions. We are not the seller of record, manufacturer, or distributor of the goods sold by third-party vendors or Schools.
- Vendor Responsibilities: Schools and third-party vendors listing items on the Marketplace are solely responsible for product accuracy, warranties, fulfillment, shipping, and handling their own customer service inquiries.
- Disputes: Any disputes regarding the quality, delivery, or safety of physical goods must be resolved directly between the purchaser and the seller of record.
23. Advertising Services (ads.eskoler.com)
Eskoler provides advertising space (ads.eskoler.com) for local and national businesses to offer relevant products and services to the School community.
- Content Standards: All advertisements must be appropriate for a K-12 educational environment. We strictly prohibit ads related to alcohol, tobacco, adult content, political campaigning, or any material that violates our Acceptable Use policy.
- No Endorsement: The display of an advertisement on the Platform does not constitute an endorsement, guarantee, or recommendation by Eskoler or the associated School.
- Approval and Removal: Eskoler reserves the right, in its sole discretion, to reject, pause, or remove any advertisement at any time without prior notice if it is deemed inappropriate or violates these Terms.
24. Payments
Access to certain Services, subscription plans, and Marketplace purchases requires payment of fees.
- Payment Processing: We utilize secure, third-party payment gateways to process transactions. By submitting payment information, you authorize Eskoler and its payment processors to charge the designated payment method for the total amount of the transaction, including any applicable taxes and fees.
- Billing Information: You agree to provide current, complete, and accurate billing and credit card information. You must promptly update all billing information to keep your account current.
- Taxes: All fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities. The purchaser or subscribing School is responsible for payment of all such taxes.
25. Subscription Plans
Eskoler offers various SaaS subscription tiers to Schools based on student enrollment, feature requirements, and module access.
- Plan Specifications: The specific features, limitations (e.g., storage limits, active user caps), and pricing for your subscription are detailed in your Master Service Agreement (MSA) or order form.
- Upgrades and Downgrades: Schools may upgrade their subscription tier at any time, with prorated charges applied for the remainder of the billing cycle. Downgrades will take effect at the start of the next billing cycle.
- Usage Limits: If your usage exceeds the limits of your current subscription tier, Eskoler reserves the right to bill for overages or require an upgrade to a higher tier.
26. Renewals
To ensure uninterrupted service for the School community, subscriptions are set to automatically renew.
- Auto-Renewal: Unless otherwise specified in an MSA, annual and monthly subscription plans will automatically renew for successive periods of the same duration at the then-current standard rates.
- Cancellation Notice: To prevent auto-renewal, the subscribing School must provide written notice of cancellation to Eskoler at least thirty (30) days prior to the expiration of the current subscription term.
27. Refunds
Given the nature of enterprise software provisioning and setup:
- SaaS Subscriptions: All subscription fees paid by Schools to Eskoler are non-refundable, except as explicitly required by law or as expressly stated in a separate, mutually signed MSA. We do not provide refunds or credits for partial months of service or for periods where the account remained active but unused.
- Marketplace Purchases: Refunds for physical goods or digital items purchased on shop.eskoler.com are governed by the specific return policy of the seller of record (the School or third-party vendor) at the time of purchase. Eskoler does not process Marketplace refunds directly unless Eskoler is the explicit seller of record.

28. Service Availability
We strive to ensure that the Eskoler Platform is highly available and reliable for our School communities.
- Uptime Target: We aim for a 99.9% uptime, excluding scheduled maintenance.
- No Guarantee: While we utilize enterprise-grade cloud infrastructure, Eskoler does not guarantee that the Services will be uninterrupted, error-free, or completely secure. Service availability may be affected by factors outside our control, including internet service provider failures, network routing issues, or third-party outages.
29. Maintenance
To ensure the security and optimal performance of the Platform, Eskoler will periodically perform system maintenance and upgrades.
- Scheduled Maintenance: We will use commercially reasonable efforts to schedule planned maintenance during off-peak hours (e.g., weekends or late evenings) and will provide Schools with advance notice of any anticipated significant downtime.
- Emergency Maintenance: Eskoler reserves the right to perform emergency maintenance at any time without prior notice to address critical security vulnerabilities or severe performance degradation.
30. Security
Eskoler implements robust, industry-standard administrative, technical, and physical safeguards designed to protect User Content and Personal Data against unauthorized access, destruction, or alteration.
- User Responsibility: Security is a shared responsibility. Schools and individual Users must maintain the security of their local networks, devices, and account credentials.
- Breach Notification: In the event of a confirmed data breach compromising Personal Data, Eskoler will notify the affected School(s) without undue delay and in compliance with applicable data breach notification laws, providing necessary information to assist the School in its own compliance obligations.
31. Third-Party Services
The Platform may integrate with or contain links to third-party applications, websites, or services (e.g., payment gateways, cloud storage, SMS providers).
- No Control: Eskoler does not own or control these Third-Party Services. Your use of such services is governed by their respective terms of service and privacy policies.
- No Liability: Eskoler is not responsible for the functionality, security, or data practices of any Third-Party Service, and we disclaim all liability arising from your use of them.
32. Account Suspension
Eskoler reserves the right to immediately suspend access to the Services, in whole or in part, without liability, if:
- We reasonably believe a User is violating these Terms, including the Acceptable Use and Prohibited Activities policies.
- There is a credible threat to the security or integrity of the Platform.
- A School fails to pay undisputed subscription fees when due, following a reasonable cure period.
33. Account Termination
- By the School: A School may terminate its account in accordance with the terms of its Master Service Agreement.
- By Eskoler: We may terminate a User’s access or a School’s account for material breach of these Terms that remains uncured for thirty (30) days after written notice.
- Effect of Termination: Upon termination, all rights and licenses granted to you will immediately cease. Eskoler will retain and securely delete School Data in accordance with our data retention policies and applicable privacy laws, typically providing the School a brief window to export their data prior to deletion.
34. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ESKOLER, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL ESKOLER’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT PAID BY YOU (OR YOUR SCHOOL) TO ESKOLER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
35. Indemnification
You agree to defend, indemnify, and hold harmless Eskoler and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from:
- Your use of and access to the Services;
- Your violation of any term of these Terms;
- Your violation of any third-party right, including without limitation any copyright, property, or privacy right; or
- Any claim that your User Content caused damage to a third party.
36. Warranty Disclaimer
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. ESKOLER EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
37. Force Majeure
Eskoler shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
38. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Eskoler is legally headquartered, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded from these Terms.
39. Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach thereof, shall be resolved through binding arbitration administered by a recognized arbitration body in Eskoler’s primary jurisdiction, rather than in court. The language of the arbitration shall be English. You and Eskoler agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
40. Changes to Terms
Eskoler reserves the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days’ notice prior to any new terms taking effect. Notice may be provided via email, an in-app notification, or by posting a prominent notice on our website. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised Terms.
